By accessing or using the Soprize platform ("Platform"), operated by SP COMMERCE SOLUTIONS LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Eligibility

The Platform is available only to legal residents of the United States who are at least 18 years of age (or such higher age as required by the state in which they reside). The Platform is not available to residents of, or to anyone accessing it from, the states listed on the Restricted States page or any country other than the United States. By using the Platform, you represent and warrant that you meet these eligibility requirements. Use of a VPN, proxy, or any other tool to circumvent geographic access controls is a violation of these Terms and may result in account termination and forfeiture of any balances.

3. Account Registration

To access certain features you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 4. Virtual Currencies: Gold Coins & Soprize Cash

The Platform uses two separate virtual currencies. "Gold Coins" (GC) are a play-money virtual currency used for entertainment only; they have no monetary value, cannot be exchanged or redeemed for cash or prizes, and remain the property of Soprize. "Soprize Cash" (SC) is a free, promotional sweepstakes-entry currency. No purchase is ever necessary to obtain Soprize Cash, which may be obtained through the free alternative method of entry and other free means described in our Rules. Soprize Cash is never sold; any Soprize Cash provided alongside a Gold Coin purchase is a free promotional bonus and not part of the amount paid. Subject to eligibility, identity verification, and the Rules, Soprize Cash may be redeemed for prizes. All Gold Coin and Soprize Cash balances, transactions, and redemptions are subject to verification and may be adjusted, withheld, or revoked if obtained through error, fraud, or violation of these Terms.

5. Sweepstakes & Promotions

The Platform may offer sweepstakes, contests, and promotional opportunities. Each promotion is governed by its own Official Rules, published at Rules and made available at the time of the promotion. In the event of a conflict between these Terms and specific Official Rules, the Official Rules shall prevail for that promotion.

6. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorized access to any part of the Platform or its systems
Use bots, scripts, or automated methods to interact with the Platform
Engage in collusion, fraud, or any form of cheating
Harass, abuse, or threaten other users
Reverse-engineer, decompile, or disassemble any part of the Platform
Circumvent geographic or age restrictions
Create multiple accounts or use another person's account

7. Intellectual Property

All content, graphics, logos, trademarks, software, and other materials on the Platform are the property of SP COMMERCE SOLUTIONS LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

8. User Content

If you submit or post any content on the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with the operation of the Platform. You represent that you own or have the necessary rights to grant this license.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SP COMMERCE SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless SP COMMERCE SOLUTIONS LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Platform ceases immediately and any remaining Gold Coin balance may be forfeited.

13. Fraudulent Activity, Account Suspension & Forfeiture

Soprize reserves the right, in its reasonable discretion and to the extent permitted by applicable law, with or without prior notice, to suspend, restrict, freeze, or permanently close any account, and to void and forfeit any associated Gold Coins, Soprize Cash, winnings, and balances, where we reasonably suspect or detect fraudulent, abusive, or unlawful activity. Such activity includes, without limitation, payment fraud, chargeback abuse, money laundering, collusion, exploitation of software errors or promotions, use of multiple or fraudulent accounts, identity misrepresentation, or any other violation of these Terms. We will determine, acting reasonably and in good faith, whether activity is fraudulent or violates these Terms. An account suspended on suspicion of fraud may remain suspended while we investigate, and an account confirmed to have engaged in fraudulent activity, including any account that has caused a chargeback, will remain suspended, with any reinstatement granted at our discretion. You may hold only one account. Creating, or attempting to create, more than one account — including attempting to verify an identity, identity document, or likeness that is already associated with another account — is prohibited and will result in the permanent suspension of that account and every other account associated with the same identity, together with the voiding and forfeiture of any Gold Coins, Soprize Cash, winnings, and balances they hold, without limiting any other rights or remedies available to us.

14. Chargebacks & Payment Disputes

All Gold Coin purchases made on the Platform are final, except as required by applicable law. Before disputing any charge, you agree to first contact us at support@soprize.com so that we may resolve the matter. Initiating a chargeback, payment reversal, or dispute with your bank or payment provider (a "Chargeback") is a material breach of these Terms. In the event of a Chargeback, whether or not it is ultimately resolved in your favor, we reserve the right, to the extent permitted by applicable law, to:

immediately suspend your account for the duration of the dispute;
if the dispute is resolved against us, permanently suspend your account and void and forfeit the entire remaining balance in your account, including all Gold Coins, all Soprize Cash, and any winnings, regardless of whether those funds relate to the disputed transaction;
recover any amounts owed to us, including associated fees and administrative costs; and
record the activity and share it with payment processors and fraud-prevention services, and decline to make the Platform available to you in the future.

A suspension arising from a Chargeback is not lifted automatically, including where the dispute is resolved in our favor; any reinstatement of a suspended account is made solely at our discretion.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
